1. Acceptance of Terms
By accessing and using the Obix Digital website and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
Obix Digital provides digital marketing services, including paid advertising, email marketing, content marketing, conversion rate optimization, and analytics, as well as development services, including CMS website development (WordPress, Shopify, Webflow, and headless builds), custom web application development, API development and integrations, and ongoing website maintenance. Specific services, deliverables, and terms are defined in individual client agreements.
3. Intellectual Property
All content on this website, including text, graphics, logos, images, and software, is the property of Obix Digital and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.
4. Development Deliverables & Code Ownership
For development engagements, upon receipt of full payment, the client owns the custom code, designs, and deliverables produced specifically for their project. Obix Digital retains the right to reuse general-purpose techniques, libraries, and know-how that are not specific to the client. Third-party components (such as CMS platforms, plugins, themes, fonts, and open-source libraries) remain subject to their own license terms, and any recurring third-party costs (hosting, plugins, APIs) are the client's responsibility unless agreed otherwise.
5. Project Scope, Revisions & Acceptance
Development projects are delivered against a written scope agreed before work begins. Requests outside the agreed scope are quoted separately. Each project includes the revision rounds specified in the client agreement. Deliverables are considered accepted when the client approves them in writing or uses them in production, or 14 days after delivery if no feedback is received.
6. Maintenance & Support
Post-launch support periods and ongoing maintenance plans are defined in the client agreement. Unless covered by an active maintenance plan, work performed after the support period, including updates, fixes for third-party changes, and new features , is billed separately. Obix Digital is not responsible for issues caused by client-made changes, third-party plugin updates, or hosting failures outside our control.
7. Client Obligations
Clients agree to provide timely access to necessary accounts, assets, and information required for the delivery of services. Delays caused by a client's failure to provide required materials may impact timelines and deliverables.
8. Payment Terms
Payment terms, including fees, billing cycles, and payment methods, are outlined in individual client agreements. Invoices are due upon receipt unless otherwise specified.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes strategies, data, results, and any other sensitive business information.
10. Limitation of Liability
Obix Digital shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services. Our total liability shall not exceed the fees paid by the client in the preceding 12 months.
11. Termination
Either party may terminate the engagement with 30 days' written notice. Upon termination, the client is responsible for payment of all services rendered through the termination date.
